1. Agreement to Terms

By accessing or using the SAAS platforms, websites, applications, and services (collectively, "Services") provided by ARV99 Tech Solutions Pvt Ltd ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Services.

These Terms constitute a legally binding agreement between you and ARV99 Tech Solutions Pvt Ltd.

2. Definitions

• "Client" or "You" – The individual or entity subscribing to our Services.
• "SAAS Platform" – Our software-as-a-service solutions including MicroLending, UPI Gateway, School Management, Ecommerce, and other hosted platforms.
• "Content" – All data, information, text, images, and materials uploaded or processed through our Services.
• "Confidential Information" – Non-public information disclosed by either party.

3. Account Registration and Security

3.1. You must register for an account to access our Services. You agree to provide accurate, current, and complete information.

3.2. You are responsible for maintaining the security of your account credentials. We are not liable for any loss or damage from your failure to comply with this security obligation.

3.3. You are responsible for all content posted and activity that occurs under your account.

3.4. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Fees

4.1. Subscription Plans: Our Services are offered on a subscription basis. Fees are billed in advance on a monthly or annual basis.

4.2. Fee Changes: We may modify fees with 30 days' notice. Continued use of Services constitutes acceptance of new fees.

4.3. Refunds: Fees are non-refundable except as required by law or as specified in your subscription agreement.

4.4. Taxes: You are responsible for all applicable taxes. If we are required to pay taxes, you will reimburse us.

5. Service Level Agreement (SLA)

5.1. Uptime Commitment: We guarantee 99.9% monthly uptime for our core SAAS platforms.

5.2. Support: Enterprise clients receive 24/7 support with 4-hour response time. Standard plans receive business hours support with 24-hour response.

5.3. Credits: If we fail to meet our uptime commitment, you may request service credits as detailed in your subscription agreement.

6. Acceptable Use Policy

You agree not to:

• Use our Services for any illegal purpose or in violation of any laws
• Transmit malware, viruses, or any code of a destructive nature
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our Services to process prohibited transactions or for money laundering
• Reverse engineer, decompile, or extract source code from our platforms
• Resell or sublicense our Services without written permission
• Use automated systems to access our Services in excess of reasonable limits

7. Intellectual Property Rights

7.1. Our IP: The Services, including all software, algorithms, interfaces, and documentation, are the exclusive property of ARV99 Tech Solutions and are protected by copyright, trademark, and other intellectual property laws.

7.2. Your IP: You retain all rights to your Content. You grant us a license to host, process, and display your Content solely to provide the Services to you.

7.3. Feedback: Any suggestions or feedback you provide may be used by us without compensation or obligation to you.

8. Confidentiality and Data Security

8.1. Both parties agree to maintain the confidentiality of Confidential Information disclosed during the term.

8.2. We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure.

8.3. We will notify you promptly of any data breach affecting your information.

8.4. Our data handling practices are detailed in our Data Handling Policy and Privacy Policy.

9. Third-Party Services

Our platforms may integrate with third-party services (payment gateways, banks, credit bureaus, etc.). We are not responsible for the performance or security of these third-party services. Your use of such services is subject to their respective terms.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall ARV99 Tech Solutions be liable for any indirect, punitive, incidental, special, consequential damages, or loss of profits arising from or relating to these Terms or the Services. Our total liability shall not exceed the amount paid by you during the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ARV99 Tech Solutions, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another.

12. Termination

12.1. You may terminate your account at any time through your account dashboard or by contacting support.

12.2. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12.3. Upon termination, your right to access the Services will cease. We may retain your data as required by law or our backup policies.

13. Dispute Resolution and Governing Law

13.1. These Terms shall be governed by the laws of India.

13.2. Any disputes arising under these Terms shall be resolved through binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996.

13.3. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
